THE LEE AND SHERBY APP DERBY – BY SYNCHRONY SALES INCENTIVE

NO PURCHASE NECESSARY TO ENTER OR WIN. OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND D.C., 18 YEARS OF AGE OR OLDER & AGE OF MAJORITY IN THEIR JURISDICTION OF RESIDENCE, WHO ARE FULL TIME CLUB CHAMPION SALES ASSOCIATES CONSIDERED “ACTIVE” EMPLOYEES AS OF DATE OF ENTRY AND PRIZE AWARD DATE.

1. PROMOTION PERIOD: The Lee and Sherby App Derby – by Synchrony Sales Incentive (the “Promotion”) begins at the start of business on October 1, 2022 and ends at the close of business on November 19, 2022, in each case at the applicable store ("Promotion Period").

2. ELIGIBILITY: The Promotion is open to legal residents of the 50 United States and D.C., 18 years of age or older and the age of majority in their jurisdiction of residence, who are full time Club Champion employees considered “active” employees in one of the six (6) regions as listed in the chart below (each, a “Region”), as of the date of entry and prize award date (“eligible employees” or “Fitters”). If the eligible employee is terminated (voluntarily or involuntarily) from Club Champion LLC (“Club Champion”) prior to award fulfillment, then the prize will be forfeited. Employees of Synchrony Bank (“Sponsor”), Don Jagoda Associates, Inc. (“Administrator”), all other employees of Club Champion, (excluding eligible employees), and each of their respective subsidiaries and affiliated companies; their distributors, contractors, web design, advertising, fulfillment, and promotional agencies and other individuals or entities involved in the administration, development, fulfillment and execution of this Promotion are not eligible. This Promotion is void wherever prohibited, and is subject to all federal, state and local laws.

3. HOW TO ENTER: During the Promotion Period, participating Club Champion stores’ (“Stores”) Fitters will obtain entries (“Entries”) into the Promotion for each successfully submitted Club Champion credit card application (“Applications”) they complete during the Promotion Period (approved or declined). Applications must be completed in-store via the store POS system and submitted by the customer and processed in accordance with these Official Rules. Applications obtained and/or processed in any other manner are not eligible. One (1) completed Application earns one (1) Entry into the Promotion.

   Incomplete and duplicate Applications will not be considered for the Promotion. Applications mailed in by the customer, Grand Opening applications, and applications obtained outside the Store do not qualify for the Promotion. Each eligible employee accepts sole responsibility for ensuring the truthful and accurate entering of all information in the Promotion.

4. WINNER DETERMINATION: On or about the end of the Promotion Period, the six (6) Fitters [one (1) per Region] with the highest number of Applications completed, will be determined as the potential First Prize winners. The six (6) Fitters [one (1) per Region] with the next highest number of Applications completed during the Promotion Period, will be determined as the potential Second Prize winners. Tie breakers (if any) will be determined by the highest percentage increase from the previous month’s Applications for each of the Fitters included in the tie. Winner determination will be made by Administrator whose decisions are final on all matters relating to winner determination. All winners are subject to verification.

5. WINNER NOTIFICATION: All potential First Prize winners will be required to execute and return via email/email link, a Declaration of Eligibility/Liability and Publicity Release (where legal), within three (3) days of notification attempt or the prize may be forfeited and an alternate eligible employee may be contacted as a potential First Prize winner. Second Prize winners will have their prizes mailed to the address on file for the respective Fitter. Return of any prize or prize notification as undeliverable or if notification is not returned in a timely manner, may result in disqualification and alternate determination. Don Jagoda Associates, Inc., on behalf of Sponsor, will award all checks to First Prize winners.

6. PRIZES AND APPROXIMATE RETAIL VALUE ("ARV"): First Prize (6 total – 1 per Region): A 3-day/2-night trip for winner to a Sponsor-specified golf resort located within the 50 United States/DC on Sponsor-specified dates. Trip includes economy air transportation to/from the major airport nearest the winner’s home to major airport located nearest to the Sponsor-specified golf resort, round trip ground transfers, hotel accommodations [single occupancy] for 2-nights and two (2) rounds of golf (one round with Joe Lee and one round with Nick Sherburne). Winners will also receive a check, to underwrite tax implications of prize acceptance, in the amount of $350. The total ARV of each First Prize is $1,850. Second Prize (6 total – 1 per Region): $250, awarded in the form of a Sponsor-selected gift card/e-gift card.

   All applicable federal, state and local taxes are the sole responsibility of each winner. Each winner is responsible for any and all incremental income taxes resulting from the total value of the applicable prize. A 1099 tax statement will be filed with the IRS for the actual total value of the prize for each First Prize winner. Each First Prize winner will receive a 1099 form in the mail, to be processed in the year in which he/she receives the prize. Gift Cards are subject to certain restrictions and an expiration date may apply. Prizes are non-transferable and no substitutions are permitted, except by Sponsor, who reserves the right, in its sole discretion, to substitute a prize (or portion of prize) of equal or greater value, if prize, or portion of prize, becomes unavailable. No cash redemption of prizes, except at Sponsor’s sole discretion. Neither Sponsor nor Club Champion shall have any responsibility or liability whatsoever for any property loss, damage, personal injury, or death, in connection with the prize provided pursuant to the Promotion and/or any eligible employees participation, directly or indirectly in the Promotion. All other expenses and costs not expressly listed above are winner’s sole responsibility. Limit one (1) First Prize and one (1) Second Prize per eligible employee during the Promotion Period.

7. FIRST PRIZE RULES: First Prize trips must be taken on the Sponsor-specified dates or prize will be forfeited. If golf rounds with Joe Lee and/or Nick Sherburne are cancelled or postponed, for reasons out of Sponsor’s control, Joe Lee and/or Nick Sherburne’s participation in that portion of the prize will not be awarded and no additional compensation will be provided. Dates are subject to change and certain additional restrictions may apply. Actual retail value of each First Prize is dependent upon airport of departure. Airline carrier's regulations and conditions apply. The First Prize trips may not be combined with any other offer and travel may not qualify for frequent flyer miles. All other expenses and costs not expressly listed above, including but not limited to, airline baggage fees, taxes, tips, entertainment, transfers, and transportation to airport to and from the winner’s home residence are the winner’s sole responsibility. First Prize winners will be required to provide a valid major credit card or some other acceptable form of payment, as determined in the hotel’s sole discretion upon hotel check-in and all in-room charges, telephone calls, meals, beverages, hotel upgrades, amenities, personal incidentals and any other expenses charged to the winner’s hotel room will be charged to that major valid credit card. Sponsor is not responsible for any fees or additional charges resulting from a winner’s change to itinerary or accommodations. Accommodations are subject to availability. No refunds or credit for changes are allowed. The First Prize winners must possess valid travel documents (i.e., valid government issued photo ID) in order to travel. In the event any First Prize winner engages in behavior that (as determined by Sponsor in Sponsor’s sole discretion) is inappropriate or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip early, in whole or in part, and send the First Prize winner home with no further compensation to the First Prize winner. All travelers must also pass any required medical testing and comply with any additional requirements, at any time, that may be required or recommended by any government agency, airline, or Sponsor, including without limitation, passing one or more COVID-19 antigen and screening tests, and testing negative for COVID-19 or having been vaccinated against COVID-19. Travelers may also be required to execute any assumption of risk and/or other documents relating to COVID-19 or he/she may not be permitted to travel.

8. GENERAL RULES: By participating in the Promotion, eligible employees agree to be bound by these Official Rules and the decisions of the Sponsor/Administrator. Winners will be verified by Sponsor to ensure all Applications are legitimate and Sponsor reserves the right to disqualify any winner they deem has provided fraudulent data. Acceptance of prize constitutes permission for the Sponsor to use winners’ names and likenesses for purposes of advertising and trade without further compensation, including a winners list, unless prohibited by law. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. The Sponsor, Synchrony Bank and its agencies and Administrator are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in the Promotion or by any human error which may occur in the processing of the Applications/Entries in the Promotion or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with the Promotion. Winners indemnify, release and hold harmless the Sponsor, Synchrony Bank, Administrator and their respective subsidiaries, affiliates, directors, officers, employees, agents and all others associated with the development and execution of this Promotion from any and all liability for damages, losses or injury, damages or causes of action (however named or described) resulting or arising from participation in the Promotion or acceptance or use of any prize. If for any reason the Promotion is not capable of running as planned, including due to bugs, tampering, fraud, technical failure, human error or any other causes beyond the control of Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Promotion, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the Application/Entry process, and to cancel, terminate, modify or suspend the Promotion and determine the First and Second Prize winners from all eligible Entries received prior to such cancellation (as outlined above). Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries. Sponsor is not responsible for: (a) incorrect or inaccurate transcription of entry/application information or late, delayed, received through impermissible or illegitimate channels, all of which will be disqualified; (b) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer online systems, computer equipment, website, server provider, network, hardware or software; (c) the unavailability or inaccessibility of any website or service; (d) unauthorized intervention in any part of the Application/Entry process or this Promotion; (e) identification of each winning eligible employee or (f) printing, typographical, electronic, human or other errors which may occur in the offer or administration of this Promotion or the processing of Entries/Applications. CAUTION: ANY ATTEMPT BY AN ELIGIBLE EMPLOYEE TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE; SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW AND TO DISQUALIFY SUCH ELIGIBLE EMPLOYEE FROM THE PROMOTION.

9. JURISDICTION: The Promotion shall be governed by and interpreted in accordance with the laws of the State of New York applicable to promotions fully carried out within New York. Except where prohibited by law, any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys' and/or experts’ fees; and winners hereby waive all rights to claim punitive, incidental and consequential damages and any other damages (including attorneys’ fees), other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. The winners acknowledge that no other party nor any agent or attorney of any other party has made any promise, representation or warranty whatsoever, express or implied, not contained herein concerning the subject matter hereof, to induce the winners to execute any document and winners acknowledge that they have not executed any document in reliance on any such promise, representation or warranty not contained herein. Any waiver by the Sponsor and its affiliates of any term of any document in a particular instance shall not be a waiver of such term for the future. Winners agree that the invalidity or enforceability of any part of any document shall in no way affect the validity or enforceability of any of the remainder of that document.
